YUXI SRL is a consulting firm specializing in artificial intelligence, process automation, and AI talent sourcing. Our services include AI audits, use case definition, solution implementation, and AI profile recruitment.Article 3 — General Terms of Sale
Any service order implies full acceptance of these terms. A written quote is issued for each engagement, valid for 30 days. The contract is formed upon signature of the quote and payment of a 40% deposit on the total amount excluding VAT. YUXI SRL's obligations are best-efforts obligations.Article 4 — Pricing and Payment
Prices are expressed in euros (EUR) excluding VAT. The balance is due according to the schedule specified in the quote. Late payment automatically triggers penalties at the applicable Belgian legal rate, plus a flat-rate recovery fee of €40 in accordance with the Belgian Law of August 2, 2002 on combating late payment.Article 5 — Intellectual Property
YUXI SRL retains full ownership of its methods, tools, and know-how. Subject to full payment, deliverables specifically created for the client are assigned for use within the client's own business. Unless the client objects in writing within 30 days of mission completion, YUXI SRL reserves the right to reference the client as a commercial reference.Article 6 — Liability
YUXI SRL's liability is limited to direct and foreseeable damages resulting from proven fault, capped at the amount invoiced and collected for the relevant mission over the preceding 12 months. YUXI SRL cannot be held liable for outputs produced by generative AI systems (hallucinations, bias, errors).Article 7 — Confidentiality and Personal Data
Both parties commit to keeping all exchanged information confidential during and after the mission (3 years). YUXI SRL processes personal data in accordance with the General Data Protection Regulation (GDPR — EU 2016/679). For any data-related requests: herve.h@yuxi.consulting.Article 8 — Termination
In case of serious breach, the aggrieved party may terminate the contract after a 15-calendar-day notice period. If terminated by the client, completed work is billed on a pro-rata basis. The deposit remains with YUXI SRL as a reservation fee.Article 9 — Governing Law and Jurisdiction
These legal notices are governed by Belgian law. In case of dispute, the parties shall seek an amicable resolution within 30 days.
